Introduction Aldgate Advice Ltd (“we”, “us”, “our”) provides digital marketing consultancy, campaign planning, affiliate services and related offerings via this website. By accessing or using any part of our services, you accept these Terms & Conditions.
Definitions “Client” refers to an individual or entity receiving services from Aldgate Advice Ltd. “Services” means any marketing, consulting or affiliate-related activities performed by us. “Affiliate” means a registered participant in our Affiliate Program. “Affiliate Dashboard” is the online portal where Affiliates access links, performance data and commission reports.
Scope of Services • Services are delivered as described in written proposals, statements of work or project plans agreed with the Client. • Any variation or additional work requires written confirmation and may incur extra fees.
Client Obligations • Provide timely access to data, systems or personnel necessary for us to perform the Services. • Ensure that any content or materials you supply do not infringe third-party rights or violate applicable laws.
Fees and Payment • Fees are detailed in the relevant proposal or contract, quoted in GBP (£) and exclude VAT unless stated otherwise. • Invoices are payable within 14 days of receipt. Overdue payments may accrue interest at 4% above the Bank of England base rate. • We reserve the right to suspend Services if invoices remain unpaid for more than 30 days.
Intellectual Property • Each party retains ownership of its pre-existing intellectual property. • Upon full payment, the Client receives a non-exclusive licence to use deliverables solely for the agreed purpose. • We may publish anonymised case studies of work completed.
Confidentiality • Both parties will keep Confidential Information strictly confidential and use it only to fulfil these Terms. • Confidential Information excludes information that is public knowledge, previously known or lawfully obtained from third parties.
Data Protection • We and our Clients/Affiliates will comply with all applicable data protection laws (GDPR, UK GDPR, CCPA, etc.) as set out in our Data Processing Agreement. • The full DPA is available on request at privacy@aldgateadvice.net.
Affiliate Program • Participation in the Affiliate Program is governed by our Affiliate Program Policies. • Affiliates must adhere to all branding, advertising and tracking requirements outlined in those policies. • Commissions are paid according to the rates and rules specified in the Affiliate Dashboard.
Subcontracting • We may engage qualified third-party agencies or consultants to assist with Services, provided we obtain the Client’s prior written consent. • We remain fully responsible for any subcontracted work and its compliance with these Terms.
Limitation of Liability • Our total liability under or in connection with these Terms will not exceed the total fees paid by the Client for the relevant Services in the 12 months preceding the event giving rise to the claim. • Neither party will be liable for indirect or consequential losses, including loss of profits or goodwill.
Indemnification • The Client will indemnify and hold us harmless against all third-party claims arising from materials or instructions supplied by the Client that infringe third-party rights or breach applicable laws.
Termination • Either party may terminate these Terms for material breach if the breach remains uncured 30 days after written notice. • On termination, the Client will pay for all Services performed up to the termination date. • Licences granted to the Client survive termination only to the extent necessary to use deliverables paid for in full.
Governing Law & Jurisdiction These Terms are governed by the laws of England & Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of Rochester, England.
Changes to These Terms We may update these Terms at any time. Significant changes will be communicated by email or posted on our website. Continued use of our services after notification constitutes acceptance of the updated Terms.
